Terms of Sale
These terms apply to all orders placed with Rainbow Wholesale LLC ("Rainbow Wholesale", "we") through this website.
Wholesale accounts only
We sell only to businesses that purchase for resale. By creating an account you confirm that the information you provide is accurate, that you hold a valid resale certificate, and that you're buying for resale. We may approve, decline or close any account at our discretion.
Prices and availability
Prices are shown to approved accounts and may change without notice. The price that applies is the one on your order confirmation. Product availability is not guaranteed until we confirm your order.
Orders
An order is accepted when we confirm it. We may adjust or decline an order, for example because of stock, pricing errors or delivery limits. If we change your order, we'll tell you before charging you.
Minimums, delivery and freight
The minimum order, delivery thresholds and delivery fees are shown at checkout and on our How Ordering Works page. Freight orders are quoted separately and are confirmed only after you accept the quote. Delivery and pickup times are estimates.
Payment
Payment is due as shown on your order confirmation. Card payments may include a processing surcharge, which is always shown before you pay. Net terms, if offered, require separate approval.
Title and risk
Title and risk of loss pass to you when the order is picked up, delivered, or handed to the freight carrier.
Damages and returns
Claims for damage, shortages or wrong items are handled under our Returns & Damages policy.
Sales tax
You're responsible for providing a valid resale or exemption certificate. If we don't have one on file, applicable sales tax may be charged.
Limitation of liability
Our liability for any order is limited to the amount you paid for that order. We're not liable for indirect or consequential losses, including lost profits.
Governing law
These terms are governed by the laws of the State of Louisiana.
